Sell Your Business

Selling your business is one of the largest decisions you will make. Capital Advisors' business brokerage service will provide you with a one-stop-shop and will handle all of the time consuming details involved in the sale.

To Sell your Business, Capital Advisors will:

  • Market your business professionally & confidentially without interruption to the day-to-day activities of the business.
  • Work with you to maximize your business value.
  • Screen and qualify potential buyers.
  • Provide separation between the you and the buyer during negotiations.
  • Assist in financing and closing the sale.

The Process:

1.
Initial Meeting: The process starts with a preliminary, no-obligation/no-cost, meeting that is scheduled at your convenience. General information is exchanged, and we will become better acquainted with each other and our respective businesses.
2.
Valuation: A preliminary valuation is then performed to provide you with a price range that we believe the market will support. You and Capital Advisors will work together to establish the asking price and terms for the sale of your company. To analyze your company and provide you with a valuation, we will need the following:
  • Three to five years of detailed and up-to-date financial statements, including income statements, balance sheets, P&L statements, cash flow statements, and income tax returns.
  • A list of furniture, fixtures, equipment, inventory, trade names, patents and other assets to be transferred with the company.
  • A list of any real property owned by the company, if applicable.
  • Real property and equipment leases.
  • Any contractual relationships of the business.
  • Any other information which may influence company operations.
3.
Contract: A contractual agreement is entered into between your company and Capital Advisors. The agreement will give Capital Advisors the exclusive right to market your company for a specified time period.
4.
Marketing: With your input and approval, Capital Advisors will create a unique marketing campaign that will be used to market your business to potential buyers. An integral part of the campaign is the preperation of the Offering Memorandum. The Offering Memorandum is a document that is used to educate buyers about the operation, facility, marketing, financial status and future opportunities of the company. A national advertising campaign is then implemented to confidentially promote your company.
5.
Buyer Screening: Capital Advisors will work with each each potential buyer by first having them sign a Confidentially Agreement and Buyer Profile. Then Capital Advisors will determine whether the potential buyer is qualified and able to to purchase your business. Only after the potential buyer has been qualified will they be provided specific information about your company.
6.
Business Operations: Your job during the process is to maintain or improve the value of your company by tending to daily operations. You will also be responsible for providing additional information requested by potential buyers.
7.
Offers: Capital Advisors confidentially schedules all showings at your convenience. If a buyer decides to make an offer, Capital Advisors will assist the buyer in preparing a letter of intent. Negotiations are then conducted on your behalf.
8.
Closing: Capital Advisors will coordinate due diligence, assist in satisfying contingencies, and will coordinate preparation of closing documents with legal counsel. At last, a formal closing takes place in which legal documents are signed, funds are received, and ownership is transferred.
